Thank you for visiting the Goaloop Site, Goaloop [dot] com, ("Site") owned and operated by G Project Inc. ("GOALOOP"). You should not access this Site or use our services until you have carefully read and agreed to these terms and conditions of use (the "Terms").

The Site is designed as a platform on which registered users and Site visitors may communicate. Registration is required before any information may be posted to the Site.

Use of this Site constitutes Acceptance of these Terms

By accessing or using this Site, you and other users of the Site agree that (1) you have read and familiarized yourself with the Terms, (2) you understand the Terms, and (3) you are bound by the Terms in your use of the Site and any services offered. GOALOOP provides you with access to and use of the Site subject to your compliance with the Terms. No material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except for as specifically allowed in the Site.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR ANY SERVICES OFFERED ON THE SITE.

YOUR USE OF THE SERVICES AND THE SITE CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO COMPLY WITH THESE TERMS.

Entire Agreement; Modification of Site, Services or Terms.

These Terms constitute the entire agreement between GOALOOP and you; these terms supersede and replace any and all prior or contemporaneous agreements between the parties regarding this Site and any services offered.

You acknowledge and agree that GOALOOP at its sole discretion, may change, modify, amend, suspend or discontinue any aspect of the Site or any services offered, including its pricing, at any time without notice and without liability to you or to any third party. GOALOOP reserves the right to impose limits on certain features of the Site or any services, including limits on excessive use, at any time, without notice and without liability to you or to any third party.

We may modify the Terms from time to time without notice to you. You should check these Terms periodically for modifications. We include the effective date of our Terms at the top of the statement. We encourage you to check our Site frequently to see the current Terms in effect and any changes that may have been made to them. If we make material changes to the Terms we will post the revised Terms and the revised effective date on this Site. By using the Site following any modifications to the Terms, you agree to be bound by such modifications.

Registration and Eligibility.

This Site and any services offered are available for viewing by the general public. To participate in the Site or use any services offered you are required to register. You must be of legal capacity to register. GOALOOP may, at its sole and absolute discretion, refuse to accept a person’s (or entity’s) registration, and may, at any time after accepting registration, refuse to permit a person’s (or entity’s) continuing use of the Site or any services offered for any reason or no reason at all. By registering or by submitting information through this Site you represent that you are over the age of 13. If you are under 18, you must have the permission and supervision of a parent or legal guardian who is at least 18 years of age; that adult is responsible for the account. Those under 18 must, at all times, have the permission and supervision of a parent or legal guardian who is at least 18 years of age. By engaging in any transactions, including but not limited to financial and exchange transactions, you represent that you meet the requirements of the applicable laws and regulations, including but not limited to legal age and capacity, to conduct those transactions, and have the express authority to do so.

Registration Information Required. In order to register you will be required to provide personal information including your true identity, business and personal contact information, email address, and such other information you choose to provide. If you register as a business entity, either for profit or non-profit, to provide true information about the entity including its legal name, address, contact information and form of business. You are required to maintain a PayPal account in order to participate in certain features of or activities on the Site. By "linking" or otherwise providing a PayPal account in order to participate in certain features of or activities on the Site you represent that you meet the requirements of the applicable laws and regulations, including but not limited to legal age and capacity, to participate in those features or activities and have the express authority to do so. By providing information in the registration process, you represent and warrant that (1) all personal and business information is accurate and complete; (2) if you register as a business entity, you are duly authorized and empowered to register the business on the Site; (3) the information you provide about the business tax status or type of organization is true, accurate and complete, and (4) you will update such information to ensure that it is at all times current, accurate and complete.

Password and Security. After you register to use the Site or any offered services, you will be prompted to select a User name and a User password. The User name and password must be employed in order to access your personalized portions of the Site as well as to post, respond or otherwise interact with other Site users. Each User is solely responsible for maintaining the confidentiality of its User name and User password and agrees to use the Site and any offered services at the User's sole risk and responsibility. To retrieve a lost User Name or Password follow the instructions on the log in page. You must immediately notify GOALOOP in writing or by electronic mail of any unauthorized use of your User name or User password. You acknowledge and agree that GOALOOP will have no liability or responsibility whatsoever for any damages or losses caused or alleged to have been caused by misuse of your User name or password.

Fees; Payment Authorization. GOALOOP charges a fee for certain transactions effected through this Site. In addition, because any financial transactions must be made through a PayPal account, PayPal may also impose charges on the transactions. Fees may range from 0% to 10% depending on the transaction, whether the transaction is conducted by an individual, a for-profit business, a non-profit business, or a verified account. Fees are automatically deducted at the time the transaction occurs. Participants will be informed of the fees charged when the goals are set and at the time a transaction is initiated. The amount of the fee is charged to the participant receiving the funds and is not added to the amount selected by the participant remitting the payment. All fees are non-refundable and are earned upon completion of the requested transaction.

NO FEES ARE CHARGED BY GOALOOP OR ANY OF ITS AFFILIATES IN RESPECT OF INVESTMENT TRANSACTIONS.

Termination. GOALOOP expressly reserves the right to terminate immediately the use of, or refuse to permit the use of the Site or any offered services to any person or entity at its sole and absolute discretion for any reason or no reason at all at any time and without prior notice. With the exception of the investment feature, the ability to participate in financial features on the site will be terminated immediately upon discontinuance of any PayPal account associated with the account. An account will be terminated in the event the account or user violates these Terms. You may terminate your account at any time with or without cause by selecting "Delete Account" on the Settings page. When this voluntary termination option is selected the account is placed on de-activated status for 30 days to allow pending transactions to conclude and access to the site may be restricted. A message may be sent to each participant in a pending transaction that the account is scheduled for deletion. At the conclusion of 30 days the account is deleted without further notice. Upon termination all activity on the User account will cease and the account will no longer be available or visible to Site visitors, the account owner or other users without notice. GOALOOP is not responsible for and shall not be liable for any content rendered unavailable upon termination, nor for any transactions that are in process at the time of termination.

License. The Site, including the contents, such as text, images, and the HTML generated by GOALOOP and used to operate the Site, ("Materials"), are our property or that of our suppliers or licensors and are protected by patent, trademark and/or copyright under United States and/or foreign laws. Except as otherwise provided herein, you may not use, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add to, license, post, transmit, or distribute any Materials from this Site in whole or in part, for any public or commercial purpose without the specific written permission of GOALOOP. We grant you a personal, non-exclusive, non-transferable license to access our web site and to use the information and services contained here.

In turn, you grant us a non-exclusive, royalty-free license to use any and all content you post on the Site for any purpose, subject to the express terms of this Agreement.

User Obligations, Representations and Conduct

GOALOOP does not participate in any transactions by or among Site users, it is simply a platform for users to interact among themselves. GOALOOP IS NOT RESPONSIBLE FOR REVIEWING, EDITING, MONITORING OR VERIFYING ANY CONTENT, DATA, INFORMATION, OR MATERIALS POSTED BY YOU OR OTHER SITE USERS. GOALOOP IS NOT RESPONSIBLE FOR REVIEWING, MONITORING, ENFORCING OR VERIFYING THAT ANY ACTIVITY OF ANY USER OF THE SITE COMPLIES WITH LOCAL, STATE, PROVINCIAL, NATIONAL OR INTERNATIONAL LAWS OR REGULATIONS APPLICABLE TO THE ACTIVITY.

You are solely responsible for the content of all data, information, or materials that you post or upload or retrieve from the Site. You are solely responsible for compliance with all local, state, provincial, national and international laws and regulations applicable to your use of the Site and all activities thereon. You are solely responsible for all activity conducted using your User login and User password.

As a condition of using this Site and any offered services, you represent and warrant (a) that you have sufficient rights to the content of all data, information, or materials posted by you on the Site or to social media accounts you link to the Site; (b) that such data, information or materials do not include any illegal or improper materials; (c) that such content complies in all respects with these Terms and Conditions, (d) that your use of the Site and any offered services does not infringe or violate any third party’s copyright, patent, trademark, trade secret, license or other proprietary rights, (e) that all statements, comments, or representations you post or upload to the Site shall be in all respects truthful and not deceptive; (f) that you are familiar with, understand and are in full compliance with all laws and regulations applicable to your activity on the Site including without limitation any securities, tax, financing, credit, export controls or other laws, (g) that you will not use the Site or any offered services to post, transmit, retrieve, promote or view any illegal materials or any material that encourages illegal conduct, including without limitation gambling, betting or pornography, (h) that any product or service offered by you through or on the Site is accurately described, not misrepresented, is not unlawful to possess, sell, export, import, transfer, own, view, use, consume or purchase under any law or regulation, including without limitation tobacco, alcohol, firearms or other weapons, or controlled substances, and (i) that you are the authorized owner of the PayPal account associated with your user account.

You may not use the Site or any offered services for any illegal or improper purpose.

YOU MUST QUALIFY AS AN ACCREDITED INVESTOR IN ORDER TO USE THE INVESTMENT PORTION OF THE WEBSITE.

Rules and Limits on and Modifications to the Site

We reserve the right, for any reason, in our sole discretion and without notice to you, to terminate, change, suspend or discontinue any aspect of the Site, including, but not limited to, information, data, text, music, sound, photographs, graphics, video, messages or other materials ("Content"), features and/or hours of availability, and we will not be liable to you or to any third party for doing so. We may also impose rules for and limits on use of the Site or restrict your access to part, or all, of the Site without notice or penalty. We have the right to change these rules and/or limitations at any time, in our sole discretion.

We have the right, but not the obligation, to implement procedures to detect unacceptable or suspicious activities on the Site including without limitation accessing any and all data or other content posted to the Site. If we suspect that an account is being used for any illegal or improper purpose we have the right, but not the obligation, to take any steps we deem appropriate in our sole discretion to protect the integrity of the Site and any offered services, including without limitation notifying appropriate authorities, refusing or disabling access to the Site, removing or deleting data, terminating the user’s account, all without notice to or consent from the user.

Specific Prohibited Uses.

The Site may be used only for lawful purposes by individuals and entities using authorized services of GOALOOP. You are responsible for your own communications, including the upload, transmission and posting of information, and are responsible for the consequences of their posting on or through the Site. GOALOOP specifically prohibits any use of the Site, and requires all users to agree not to use the Site, for any of the following:

a.     Posting any information which is incomplete, false, inaccurate or not your own;

b.     Impersonating another person or entity, or make any misrepresentation as to User's employment by or affiliation with any other person or entity;

c.     Constituting or encouraging conduct that would constitute a criminal offense, giving rise to civil liability or otherwise violate any city, state, national or international law or regulation or which fails to comply with accepted Internet protocol;

d.     Posting, uploading, transmitting, publishing or distributing material that is copyrighted or otherwise owned by a third party unless you are the copyright owner or have the permission of the owner to post it;

e.     Posting, uploading, transmitting publishing or distributing material that reveals trade secrets, unless you own them or have the permission of the owner;

f.     Posting, uploading, transmitting publishing or distributing material that infringes on any other intellectual property, privacy or publicity right of another;

g.     Transmitting or transferring (by any means) information or software derived from the site to foreign countries or certain foreign nations in violation of US export control laws;

h.     Interfering with or disrupting the use of the Site by any other User, nor "stalking", threatening, or in any manner harassing another User;

i.     Posting, uploading, transmitting publishing or distributing material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libelous, unethical, vulgar, obscene, or racially, ethnically, or otherwise objectionable in any manner whatsoever;

j.     Posting, transmitting, retrieving, promoting or viewing any illegal materials or any material that encourages illegal conduct, including without limitation violence, gambling, betting or pornography, or offering any product or service that is inaccurately described, misrepresented, unlawful to possess, sell, export, import, transfer, own, view, use, consume or purchase under any law or regulation, including without limitation tobacco, alcohol, firearms or other weapons, or controlled substances.

k.     Attempting to interfere in any way with the Site’s or our networks or network security, or attempting to use the Site’s service to gain unauthorized access to any other computer system.

l.     Seeking funding or material support for a goal pertaining to so-called crypto currency, digital tokens, digital coins, the 'blockchain,' pre-ICO or an ICO (Initial Coin Offering).

Security Rules.

Violations of system or network security may result in civil or criminal liability. GOALOOP will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting the user or users who are involved in such violations. You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, the following:

a.     Accessing data not intended for such user or logging into a server or account which user is not authorized to access;

b.     Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

c.     Attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "mailbombing" or "crashing"; or sending unsolicited e-mail, including promotions and/or advertising of products or services;

d.     Interfering with or disrupting computer networks connected to the Site, including but not limited to posting or storing any information which contains any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; or

e.     Forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.

Privacy Policy; User Information

In the course of your use of the Site, you may be asked to provide certain information to us. GOALOOP’s use of any information you provide via the Site shall be governed by our Privacy Policy available here. We urge you to read our Privacy Policy. You acknowledge and agree that you are solely responsible for the accuracy and content of such information.

International Use

We control and operate the Site from our offices in the United States of America, and all information is processed within the United States. We do not represent that materials on the Site are appropriate or available for use in other locations. Persons who choose to access the Site from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site. Without limiting the generality of the foregoing, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Proprietary Rights

As between you and GOALOOP, (or other company whose marks appear on the Site), GOALOOP (or the respective company) is the owner and/or authorized user of any trademark, registered trademark and/or service mark appearing on the Site, and is the copyright owner or licensee of the Content and/or information on the Site, unless otherwise indicated.

Except as otherwise provided herein, use of the Site does not grant you a license to any Content, features or materials you may access on the Site and you may not modify, rent, lease, loan, sell, distribute or create derivative works of such Content, features or materials, in whole or in part. Any commercial use of the Site is strictly prohibited, except as allowed herein or otherwise approved by us. You may not download or save a copy of any of the Content or screens for any purpose except as otherwise provided by GOALOOP. If you make use of the Site, other than as provided herein, in doing so you may violate copyright and other laws of the United States, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use. We do not grant any license or other authorization to any user of our trademarks, registered trademarks, service marks, other copyrightable material or any other intellectual property by including them on the Site.

The information on the Site including, without limitation, all site design, text, graphics, interfaces, and the selection and arrangements is protected by law including copyright law.

Product names, logos, designs, titles, words or phrases may be protected under law as the trademarks, service mark or trade names of GOALOOP or other entities. Such trademarks, service marks and trade names may be registered in the United States and internationally.

The GOALOOP logos and service names are trademarks of GOALOOP (the "GOALOOP Marks"). Without GOALOOP’s prior permission, you agree not to display or use GOALOOP Marks in any manner. Nothing on the Site should be construed to grant any license or right to use any GOALOOP Mark without the prior written consent of GOALOOP.

Links from and to the Site

You may be able to link to third party websites ("Linked Sites") from the Site. Linked Sites are not, however, reviewed, controlled or examined by GOALOOP in any way and GOALOOP is not responsible for the content, availability, advertising, products, information or use of user information or other materials of any such Linked Sites, or any additional links contained therein. These links do not imply GOALOOP’s endorsement of or association with the Linked Sites. It is your sole responsibility to comply with the appropriate terms of service of the Linked Sites as well as with any other obligation under copyright, secrecy, defamation, decency, privacy, security and export laws related to the use of such Linked Sites and any content contained thereon. In no event shall GOALOOP be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the creation or use of the Linked Sites or the information or material accessed through these Linked Sites. GOALOOP DOES NOT WARRANT THAT THE SITE OR THE FUNCTION, CONTENT OR SERVICES MADE AVAILABLE THEREBY WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. GOALOOP MAKES NO WARRANTY THAT THE SITE WILL MEET USERS’ EXPECTATIONS OR REQUIREMENTS. NO ADVICE, RESULTS OR INFORMATION, OR MATERIALS WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. GOALOOP IS NOT PROVIDING INVESTMENT ADVICE OR MAKING RECOMMENDATIONS WITH RESPECT TO ANY SECURITIES TRANSACTIONS. GOALOOP IS NOT REGISTERED WITH THE SECURITIES AND EXCHANGE COMMISSION OR ANY STATE OR OTHER JURISDICTION AS AN INVESTMENT ADVISER OR A BROKER-DEALER, AND DOES NOT PARTICIPATE IN THE SALE OF ANY SECURITY.

LIMITATION OF LIABILITY

IN NO EVENT SHALL GOALOOP, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONTENT OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE, THE SITE OR THE CONTENT, MATERIALS AND FUNCTION RELATED THERETO, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, OR ANTICIPATED PROFITS, OR LOST BUSINESS, DATA OR SALES, OR COST OF SUBSTITUTE SERVICES, EVEN IF GOALOOP OR ITS REPRESENTATIVE OR SUCH INDIVIDUAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT SHALL THE TOTAL LIABILITY OF GOALOOP TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THE TERMS OR YOUR USE OF THE SITE EXCEED, IN THE AGGREGATE, $100.00.

NO REFUNDS

Under no circumstances will GOALOOP be responsible to effect returns or exchanges of products purchased or obtained from Site users or to refund funds transferred through the Site and GOALOOP shall not process such requests. Participants with disputes regarding transfers of funds are solely responsible for redressing those disputes directly with the individuals or entities to whom they transferred the funds.

Applicable Law/Jurisdiction/Class Action Waiver

You agree that the laws of the state of New York, excluding its conflicts-of-law rules, shall govern these Terms. Please note that your use of the Site may be subject to other local, state, national, and international laws. Any controversy or claim arising out of or relating to your use of the Site (including any claim involving GOALOOP or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers) shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules conducted in New York County, New York, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You consent to jurisdiction of the state and federal courts of New York for enforcement of this arbitration provision.

THIS CONTRACT PROVIDES FOR THE EXCLUSIVE RESOLUTION OF DISPUTES THROUGH INDIVIDUAL LEGAL ACTION ON USERS’ OWN BEHALF INSTEAD OF THROUGH ANY CLASS ACTION. EVEN IF THE APPLICABLE LAW PROVIDES OTHERWISE, USER AGREES THAT ANY ARBITRATION AGAINST GOALOOP WHATSOEVER SHALL BE LITIGATED BY USER INDIVIDUALLY AND NOT AS A MEMBER OF ANY CLASS OR AS PART OF A CLASS ACTION, AND USER EXPRESSLY AGREES TO WAIVE ANY LAW ENTITLING USER TO PARTICIPATE IN A CLASS ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO ARBITRATE CLAIMS ON A CLASS ACTION BASIS. USER AGREES THAT THIS SECTION SHALL NOT BE SEVERABLE UNDER ANY CIRCUMSTANCES FROM THE ARBITRATION CLAUSE SET FORTH ABOVE, AND IF FOR ANY REASON THIS CLASS ACTION WAIVER IS UNENFORCEABLE AS TO ANY PARTICULAR CLAIM, THEN AND ONLY THEN SUCH CLAIM SHALL NOT BE SUBJECT TO ARBITRATION.

Consent to Processing

By providing any personal information to the Site, all users, including without limitation users in the European Union, fully understand and unambiguously consent to the collection and processing of such information in the United States.

General Information

The Terms constitute the entire agreement between you and GOALOOP and govern your use of the Site, superseding any prior agreements between you and GOALOOP. You also may be subject to additional terms and conditions that are applicable to certain parts of the Site.

You agree that no joint venture, partnership, employment, or agency relationship exists between GOALOOP and you as a result of this Agreement or your use of the Site.

Any claim or cause of action you may have with respect to GOALOOP or the Site must be commenced within one (1) year after the claim or cause of action arose.

The failure of GOALOOP to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

You may not assign the Terms or any of your rights or obligations under the Terms without GOALOOP’s express written consent.

The Terms inure to the benefit of GOALOOP’s successors, assigns and licensees. The section titles in the Terms are for convenience only and have no legal or contractual effect.
